OpenAI Proposes Terminating Model Provision to Cursor, Citing "Trust" Following SpaceX Acquisition

OpenAI stated that it cannot be certain that SpaceX will continue to use its technology within the scope of the terms of service. The company cited past instances where another company led by Elon Musk violated contractual terms as the underlying reason. OpenAI explained that the contract with Cursor includes a clause allowing for termination following a change in control (acquisition), and that it has provided the longest possible notice period allowed under the contract to ensure developers have maximum time for migration. Furthermore, regarding the next-generation model "Astra," OpenAI plans not to provide it to Cursor due to the necessity of ensuring usage complies with its terms of service.

Michael Truell, CEO of Anysphere, the developer of Cursor, stated that OpenAI's models account for only approximately 5% of Cursor's user traffic and said that they are continuing discussions with the OpenAI team to resolve the issue. He expressed bewilderment at the sudden policy shift, noting that Cursor has been a user of OpenAI since its earliest stages and has trusted the company's platform as a neutral infrastructure.
